Delays caused by missing information or approvals may affect delivery timelines.

5. Fees and Payment

Fees are agreed in advance and stated in the relevant proposal or invoice.

Unless otherwise agreed:

  • Invoices are payable within the stated payment period

  • Late payments may result in suspension of work

  • All fees are exclusive of applicable taxes unless stated otherwise

Clients are responsible for all taxes, duties, or charges arising from the Services.

6. Intellectual Property

Unless otherwise agreed in writing:

  • Formative Global retains ownership of all tools, frameworks, templates, and pre-existing materials

  • Upon full payment, the Client receives a licence to use the final deliverables for their intended business purpose

We reserve the right to showcase completed work in our portfolio unless confidentiality is expressly agreed.

7. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or commercial information disclosed during the engagement.

Confidential information shall not be disclosed to third parties except where required by law or with written consent.

8. Data Protection and Privacy

Formative Global complies with applicable data protection laws, including the Nigeria Data Protection Act and related regulations.

Personal data is processed only for legitimate business purposes and handled with appropriate technical and organisational safeguards.

9. Service Availability and Changes

These Terms are governed by the laws of the Federal Republic of Nigeria.

Any dispute shall first be resolved amicably. If unresolved, disputes shall be referred to arbitration in Lagos, Nigeria, in accordance with applicable arbitration laws.
