Delays caused by missing information or approvals may affect delivery timelines.
Fees are agreed in advance and stated in the relevant proposal or invoice.
Unless otherwise agreed:
Invoices are payable within the stated payment period
Late payments may result in suspension of work
All fees are exclusive of applicable taxes unless stated otherwise
Clients are responsible for all taxes, duties, or charges arising from the Services.
Unless otherwise agreed in writing:
Formative Global retains ownership of all tools, frameworks, templates, and pre-existing materials
Upon full payment, the Client receives a licence to use the final deliverables for their intended business purpose
We reserve the right to showcase completed work in our portfolio unless confidentiality is expressly agreed.
Both parties agree to keep confidential any non-public business, technical, or commercial information disclosed during the engagement.
Confidential information shall not be disclosed to third parties except where required by law or with written consent.
Formative Global complies with applicable data protection laws, including the Nigeria Data Protection Act and related regulations.
Personal data is processed only for legitimate business purposes and handled with appropriate technical and organisational safeguards.

To the fullest extent permitted by law:

Fees for work completed remain payable
Outstanding obligations survive termination
We are not liable for delays or failure to perform due to events beyond reasonable control, including natural disasters, government actions, power outages, or network failures.
Our Services may involve third-party platforms, tools, or providers. We are not responsible for the performance, availability, or policies of such third parties.
These Terms are governed by the laws of the Federal Republic of Nigeria.
Any dispute shall first be resolved amicably. If unresolved, disputes shall be referred to arbitration in Lagos, Nigeria, in accordance with applicable arbitration laws.
